Sec. 1.
The club name shall be "RUM RIVER RODS" with a jacket logo to include the club name, city "ISANTI, MN and a smokey burnout muscle car.
Sec. 2.
Wheel logo shall be a tire and rim "RUM RIVER RODS ISANTI, MN" with a tire tread river running by the tire.
Sec. 3.
Member logo sticker shell be a tire and rim made from vinyl for inside member vehicle(s) window stating "RUM RIVER RODS ISANTI, MN MEMBER".


Sec. 1.
The Rum River Rods Car Club is a group of individuals dedicated to the preservation and common love for automobiles, music, and fun-filled life styles of the classic car era. The Club shall be non-commercial, nonsectarian, and nonpartisan. The name of the club or the names of any members in their official capacities shall not be used to endorse or promote a commercial concern or in connection with any partisan interest or for any purpose not appropriately related to the promotion of the objectives of the Club.
Sec. 2.
Formed in January 2013, the Club members participate in automobile related activities to include car shows, cruises, picnics, rod runs, and additionally, supports other car clubs events in the local area.
Sec. 3.
Rum River Rod's Isanti Weekly Car Show
a. The Club hosts a weekly car show Wednesday, June through August, for the purpose of promoting the Club, the community, the media, law enforcement agencies, the state legislature, and creating a goodwill atmosphere for other clubs and individuals to show their cars. Trophy Plaques are presented to individuals whose car has been selected for a specific award. Club members cars may be shown, but they will be eligible for the awards and drawing at these weekly shows.
Sec. 4.
Annual Car Show
a. The Club may host an annual benefit car show sometime during each year to be called the Summer Spectacular (Subject to change) Car Show. The purpose of this show is to raise funds for charities and on-perishable food donations.
Sec. 5.
Other Car Shows
a. The Club may host other car shows thought out the season. These shows should be organized at our monthly meeting, dates are to be set around other events in the area. Purpose of these shows are to prompt the Club in our local community. Also to collect non-perishable food donations and raise funds for other charities.
Sec. 6.
Non-Profit Status
a. The Club is working on it non-profit status and is irrevocably dedicated to charitable purposes and no part of the net include or assets of this club shall ever inure to, or cause profit to, the benefit of any officer, director, or member thereof or to the benefit of any private persons.


Sec. 1.
a. Full Club Membership – Must be a legal adult (i.e. 18 years old).
b. Associate Club Membership – For those under the age of 18. They may participate in all Club activities, but are not permitted to vote at Club Meetings.
c. A full member and associate member should be a person of good character, fellowship and sportsmanship; an upstanding citizen with willingness to actively participate in Club activities, membership and meetings, and must have completed and submitted a Club Membership Application and paid the appropriate membership dues.
d. Surviving Spouse Membership - Applies to families that the primary member has passed away. The Surviving Spouse may remain as a non- paying member until such time as they wish to become Full Club Member again or decide to drop their association with the Club. They may participate in all Club activities, but are not permitted to vote at Club Meetings.
e. Honorary Membership - Prospective Honorary Members (i.e. Non Paying Club Member) shall be nominated and approved by the general membership during a regular Club meeting. Honorary Members should be members of our community who have been long standing promoters, enthusiasts, and supporters of our Club. They may participate in all Club activities, but are not permitted to vote at Club Meetings.
f. Any Club member who regularly commits unsafe driving acts or whose personal conduct is otherwise detrimental to the purposes and reputation of the Club may be suspended or expelled from membership in the Club. Suspension or expulsion must be accepted by a majority of the members present at a regular monthly meeting. Prior to any suspension or expulsion hearing, the person in question shall be notified by letter of the date, time and items to be considered at the intended hearing.
Sec. 2. The Rum River Rods Car Club Membership Application is an addendum to the By-Laws.


Sec. 1.
There shall be an official meeting, open to the general membership, once each month. The time and day shall be decided by the membership.
Sec. 2.
Directors committee meetings and organizational meetings may be held as often as necessary to conduct their business.
Sec. 3.
A majority of the Club members present shall constitute a quorum.
Sec. 4.
All meetings shall be run according to Robert’s Rules of Parliamentary Procedure.

Article V. DUES

Sec. 1.
Annual nonrefundable dues for continuing members shall be due and collected at the first of May or the 1st Monday meeting of May. Members not paying dues at that meeting or by the 1st of May will be sent a letter or email to remind them of their commitment. Dues not paid by next member meeting or 1st Monday of June, shall be considered delinquent and said members shall be dropped from membership roster.
Sec. 2.
a. New Member Dues shall be $25 per person/family for all vehicle(s). Said fee shall include one vehicle(s) card.
b. Club Membership Renewal – Annual dues shall be $25.00 per person/family.
c. Associate Club Membership (i.e. under 18 years old)– Annual dues are null and free under parent(s) membership.
d. Anyone joining after January of any given Year, their dues shall apply to the following year also. Club membership T-Shirts are available at the current Club cost.

Sec. 3. Additional Officers and Directors may be added or removed as needed.


Sec. 1.
The privilege of holding office on the Board of Directors shall be limited to members of the Club whose dues are paid and otherwise in good standing.
Sec. 2.
Nominations for Officers on the Board of Directors shall be held at the October meeting (may very slightly).
Sec. 3.
Election of Officers to the Board of Directors shall be held normal at the November meeting.
Sec. 4.
In the event an elected officer or appointed director cannot fulfill their term of office, the Board of Directors shall appoint an elected officer or appointed director to fill that office until the next regular election.
Sec. 5.
Officers and Directors shall serve for the term of one year or until their successors are elected or appointed. No officer shall be eligible to the same office for more than five consecutive terms or hold more than one elected office. Exception may apply depending on the clubs active member count at said meetings.
Sec. 6.
The term of office for all members of the Board of Directors shall be from January 1st to December 31st of the same year.


Sec. 1.
PRESIDENT – Serves as Chairperson at all meetings. Provides continuity and coordination to all functions. Acts as Master of Ceremonies during Isanti Weekly Car Show and Annual Show festivities, presentations, etc. Must keep meetings orderly and to the point so Club business will get accomplished in a timely fashion. Appoint Directors and other committees as necessary and be an ex-officio member of all committees. Coordinates the Officers, Directors, and Committees of the Club in order that the goals of the Club will be met.
Sec. 2.
VICE-PRESIDENT – To be aware of the duties of the President and to serve as Chairman of meetings in the absence of the President. Serve as the Officer-in-Charge of the Isanti Weekly Car Show and our Annual car show.
Sec. 3.
SECRETARY - Shall record the minutes of the meetings of the Club, prepare copies of the minutes for distribution at the next business meeting, handle all Club correspondence, keep all records and issue the notice for election of Officers. Provide copies of the Club By-laws for all members.
Sec. 4.
a. The Treasurer deposit and keep the funds of the Club in a specified bank account, make payments from the Club account as necessary and present a written statement of account at every business meeting of the club. Keep such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts and disbursements of the Club, including a specifically, the number of members and the dues collected from the members. Such books of account and records shall at all reasonable times be open to inspection by an officer of the Club.
b. All moneys spent between the amount of $50.00 and $150.00 shall first be approved by a majority vote of the Board of Directors. Any moneys spent above $150 must first be approved by a majority vote of the general membership at any regularly scheduled business meeting. All expenditures shall have receipt. All membership dues shall be collected by the Treasurer who shall deposit said funds to the Club bank account.
c. Shall turn over to the Auditor all checking account ledgers, bank statements and any other pertinent documents necessary for the completion of an audit of the Clubs financial transactions and records. This official audit shall be done once a year. The audit shall be done at the September meeting, in order to make the clubs annual charitable donations.
e. Make an annual financial report to the Club which includes gross receipts and disbursements for the year.
Sec. 5.
MERCHANDISING – Report on all merchandise said T-Shirts, Jackets, Stickers, Banners and graphics need in club activates to sustain enough inventory for club events. Awards Trophies ordering of said items for weekly shows and other show events though out the year including our Annual car show. Responsible for the organizing door prizes at our events.


Sec. 1.
MEMBERSHIP DIRECTOR – Appointed position. Keeps a complete list of current membership and provide copies as needed for members. Provide copies of the Club Membership Application for potential new members. Collect new member applications and submit them to the membership. Provide new member cards for all new members as well as be the custodian of the Club T-Shirts. Coordinate with Treasurer for accurate list of dues paying members.
Sec. 2.
SHOW DIRECTOR – Appointed position. Report to the Vice-President regarding all aspects of the Isainti Weekly Car Show and other events. See that the parking lot is secured, persons are designated to park cars, registration is set up, judges for show are designated, PA system is setup, persons designated to monitor skateboards, bicycles, inline skaters, etc., and designate a crew for parking lot cleanup following the shows.
Sec. 3.
CLUB ACTIVITIES DIRECTOR – Appointed position. Be responsible for coordinating Club activities (i.e., winter party and cruises, social gatherings, etc.)
Sec. 4.
FOOD DONATION DIRECTOR – Appointed position. Be responsible for collecting Non-Perishable food donations at our club event and distributing them to the local food shelf (Family Pathways), and to return the receipt to the Secretary in order to record the amount of the our donation.
Sec. 5.
WEBMASTER – Appointed position. Be reasonable for update website in a reasonable amount of time that shows the turn of events the club is involved in, (i.e.,up to date Non-Perishable food donations graph, Membership application and club roster). By-Laws are to be posted of members to view.


Sec. 1.
Club jackets, T-Shirts, Logos, etc. – The use of any Club contrivances shall be limited to active dues paying members and their immediate family.
Sec. 2.
Club jackets and Club Logo may be ordered from Upscaled Designs LLC. Only persons whose names appear on the approved membership list may use the Club Logo on jackets.
Sec. 3.
Member stickers. Only persons whose names appear on the approved membership roster may use the Member sticker Logo.
Sec. 4.
T-Shirts and Jackets may be ordered through Merchandising.


Sec. 1.
The Board of Directors may at any time, call a By-Laws Amendment Committee for the purpose of changing or updating these by-laws. The proposed changes shall then be brought before the general membership for majority approval.
Sec. 2.
Any current member or members may propose an amendment to these By-Laws. They must provide a written petition with the proposed changes and have said petition signed by 30% of the current active membership in order for the petition to be brought before the Board of Directors for consideration. After evaluation by the Board, the proposed amendment may be brought to the general membership for consideration and vote. If the Board vetoes the 30% petition, it must then be signed by 50% of the membership and may be brought before the general membership for consideration and vote without Board consideration.
